Governance Committee:
The Governance Committee is a standing committee of the MCBDMA whose purpose is to ensure the MCBDMA Board runs effectively and efficiently by educating all members of the MCBDMA so they are aware of their respective roles, responsibilities and all policies. The Committee Chairperson is the Parliamentarian.  The Committee periodically reviews and recommends changes when needed in Board operations, policies, and bylaws.  The Committee seeks out, considers and nominates qualified candidates to the Board for each new Board term. The Committee may designate Sub-Committees to perform the following functions relative to its purpose:

  • Board Stewardship function:
  • Coordinate and provide Board Training and new Board Member Orientation as needed but at least annually;
  • Present and update information on board responsibilities and policies;
  • Prepare Board Manual annually updating material as needed;
  • Present items for amendment to operating procedures and other items in order to help the Board operate efficiently and effectively;
  • Ensure annual review of the implementation status of the Strategic Plan, and coordinate Planning committee when needed;
  • Review and propose changes to bylaws as needed;
  • Develop Work Plan each year that identifies, prioritizes, and outlines goals, strategies, timeline and accountability for Committee and staff that is compliant with the mandate, Strategic Plan, and includes the input of groups and residents in the District;
  • Monitor program to ensure accomplishment of – and celebrate accomplishments of - stated goals;
  • Board development/nominations function: 
  • Work with Executive Committee to recruit and qualify interested persons for the positions on the MCBDMA Board so that a slate of nominees for neighborhood representatives can be presented at the October Fall Town Hall Meeting, and the slate of  officers and other representatives can be presented to the MCBDMA Board prior to December 31 each year in preparation for installation at the January at the Board Meeting
  • Coordinate Fall At-Large Elections in the same timeframe listed above;
  • Work with Board members to recruit and present nominees for vacant posts, subject to the approval of the entire MCBDMA Board.
  • Develop Work Plan each year that identifies, prioritizes, and outlines goals, strategies, timeline and accountability for Committee and staff that is compliant with the mandate, Strategic Plan, and includes the input of groups and residents in the District;
  • Monitor program to ensure accomplishment of – and celebrate accomplishments of - stated goals;
  • Operate following the General Practices of Board Committees.
